The Commercial Counsel, Agricultural Solutions, will be responsible for providing day-to-day and strategic commercial and competition law advice and guidance to BASF’s Agricultural Solutions seeds and traits businesses, including support for supply chain operations, product stewardship, product regulations, M&A, sales contracts, marketing programs and license agreements, together with other business and functional units and other members of the Legal Department.
Commercial Counsel, Agricultural Solutions, will bring legal expertise in competition law, M&A and due diligence work, contract drafting and interpretation, risk and damage mitigation, and external and internal communication matter reviews. This role will help to anticipate potential litigation and compliance risks within relevant businesses and functions, and provide training on key legal topics, especially competition and contract law, communications and confidentiality. This position reports to the Assistant General Counsel, Agricultural Products, Seeds and Traits, and is located in RTP, NC, operating on a full-time, hybrid work schedule.
Provide day-to-day and strategic commercial legal advice and compliance guidance to BASF’s North American regional and Global agricultural seeds and traits products businesses and functions.
Review and revise transactional documents for the license, purchase or sale of goods or services, marketing programs, collaboration agreements and confidentiality agreements; provide legal support to business partners (clients) in contract review, negotiations, and strategy.
Serve as legal counsel on North American regional and Global M&A transactions and other strategic projects and functional teams.
Support the development and implementation of sustainability initiatives for BASF’s North American Agricultural Solutions business from a commercial legal perspective.
Develop a thorough understanding and familiarity with the Company's businesses, people, products, markets, facilities, channel partners, growers and competitors, to identify trends and formulate strategies accordingly.
Advise, integrate, and support BASF’s corporate litigation group in responding to discovery requests directed to business units supported and risk mitigation trainings and processes.
Review and comment on advertising, communications and incentives materials for agricultural solutions products to ensure compliance with federal and state advertising law requirements, BASF policies and industry standards.
Provide training on relevant policies, procedures, and legal issues.
Lead and support compliance related projects as and when required.
Help to drive the implementation of legal department initiatives.
Qualifications - BASF recognizes institutions of Higher Education which are accredited by the Council for Higher Education Accreditation or equivalent
Qualifications & Skills
Juris Doctorate and active license to practice law in at least one U.S. state or the District of Columbia.
Minimum five (5) to seven (7) years of legal experience required
Deep understanding of the U.S. agricultural industry and agricultural solutions business as to seeds and traits products, and familiarity with crop protection products and/or biologicals a plus.
Proficiency in US antitrust laws required, and some knowledge of ex-US competition law preferred.
Demonstrated ability to effectively influence, communicate and interact with all levels of personnel and management, including senior executives, required.
Mergers and Acquisitions/Divestments experience preferred
General understanding of intellectual property law fundamentals and demonstrated ability to provide commercial legal counsel on intellectual property licensing transactions strongly preferred.
